Terms & Conditions – WORX UK Affiliate Programme
1.Promoter & Programme Operator
The WORX UK Affiliate Programme (“Programme”) is operated by Positec (UK & Ireland) Limited, Company No. 03998785, Hill House, 1 Little New Street, London, EC4A 3TR (“WORX”, “Promoter”, “we”, “our”, “us”).

2. Eligibility
2.1 The Programme is open to individuals aged 18 years or over and businesses legally established in the United Kingdom.
2.2 Applicants must own and actively operate at least one eligible digital channel, including but not limited to:
(a) social media accounts;
(b) websites;
(c) blogs;
(d) video channels; or
(e) email marketing platforms.
2.3 WORX reserves the right to accept or reject any application to the Programme at its sole discretion. Applications will normally be reviewed within 10 business days. Approval is not guaranteed and may be withdrawn at any time.
2.4 Employees of Positec (UK & Ireland) Limited, associated agencies, or anyone professionally connected with the administration of the Programme may not participate without prior written approval.
3. Programme Registration
3.1 Applicants must complete the official affiliate registration process and provide accurate, current, and complete information.
3.2 By joining the Programme, affiliates agree to comply with:
(a) these Terms & Conditions;
(b) applicable UK laws and regulations;
(c) the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code);
(d) ASA guidance relating to influencer and affiliate marketing; and
(e) any applicable platform or network rules.
3.3 WORX may suspend or terminate participation where false, misleading, or incomplete information is provided.
4. Affiliate Links & Promotional Activity
4.1 Approved affiliates will receive access to affiliate tracking links, discount codes, creative assets, or other promotional materials (“Affiliate Materials”).
4.2 Affiliate links and promotional codes must only be used in connection with genuine promotional activity relating to WORX products.
4.3 Affiliates must not:
(a) misrepresent WORX products, pricing, availability, warranties, or promotions;
(b) engage in misleading, deceptive, or unlawful marketing practices;
(c) bid on WORX branded keywords or trademark terms in paid search advertising without prior written consent;
(d) create websites or social accounts impersonating WORX or suggesting official partnership status beyond participation in the Programme; affiliates must not register domain names, usernames, handles, or social media profiles incorporating WORX trademarks or confusingly similar variations.
(e) use spam, unsolicited communications, cookie stuffing, or artificial traffic generation methods;
(f) publish content that is defamatory, discriminatory, offensive, illegal, or harmful to the WORX brand; or
(g) promote products via voucher, cashback, or coupon sites without prior written approval.
(h) Any AI-generated content promoting WORX products must be accurate, clearly reviewed by the affiliate, and compliant with applicable advertising regulations.
(i) Affiliates must not publish product reviews or performance claims that are false, misleading, or unsupported by genuine experience or evidence.
4.4 Affiliates are solely responsible for the content they publish and must ensure all claims are truthful, substantiated, and compliant with applicable advertising regulations.
5. Disclosure Requirements
5.1 Affiliates must clearly disclose the commercial relationship with WORX in all qualifying promotional content.
5.2 Disclosures must comply with ASA and CMA guidance and be clear, prominent, and easily understandable to consumers.
5.3 Acceptable disclosures may include:
(a) #Ad;
(b) #Affiliate;
(c) “Paid Partnership with WORX”; or
(d) “I may earn commission from qualifying purchases.”
5.4 Failure to include appropriate disclosures may result in suspension or removal from the Programme.
6. Commission & Payments
6.1 Affiliates may earn commission on qualifying purchases made through approved affiliate tracking links or codes. Commissions will be paid upon reaching a minimum threshold of £100 in accumulated commission value from confirmed sales that have not been refunded or returned by end customers.
6.2 Commission rates, payment schedules, attribution windows, and qualifying conditions will be communicated separately within the affiliate platform or programme documentation. WORX reserves the right to amend commission rates, attribution models, payment thresholds, and qualifying conditions at any time upon reasonable notice to affiliates.
6.3 No commission will be payable:
(a) on cancelled, refunded, or fraudulent orders;
(b) on self-purchases unless expressly approved;
(c) where tracking has been manipulated or interfered with; or
(d) where orders breach these Terms & Conditions.
6.4 WORX reserves the right to withhold or reverse commission where abuse, fraud, or breach of these Terms is suspected. WORX reserves the right to investigate any affiliate activity suspected of fraud, abuse, artificial traffic generation, incentive abuse, or breach of these Terms.
6.5 Affiliates are solely responsible for declaring and paying any applicable taxes arising from payments received under the Programme.
7. Intellectual Property
7.1 All intellectual property rights in WORX branding, trademarks, logos, imagery, product descriptions, and marketing assets remain the property of WORX or its licensors.
7.2 Affiliates are granted a limited, non-exclusive, revocable licence to use approved Affiliate Materials solely for participation in the Programme.
7.3 Affiliates must immediately cease use of all Affiliate Materials upon request or termination of participation.
8. Termination & Suspension
8.1 WORX may suspend or terminate an affiliate account immediately and without prior notice where:
(a) these Terms & Conditions are breached;
(b) fraudulent or misleading activity is identified;
(c) affiliate activity damages or risks damaging the WORX brand or reputation; or
(d) required legal or advertising disclosures are not followed.
8.2 Affiliates may leave the Programme at any time by providing written notice.
8.3 Upon termination, all affiliate links, promotional codes, and WORX marketing materials must be removed within 7 calendar days of termination from all channels.
8.4 WORX may deactivate affiliate accounts that remain inactive for a continuous period of 6 months.
9. Limitation of Liability
9.1 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be excluded.
9.2 WORX shall not be liable for:
(a) indirect or consequential loss;
(b) loss of profits, revenue, goodwill, or business opportunity;
(c) technical failures affecting tracking or reporting; or
(d) interruptions to the Programme caused by events outside reasonable control.
9.3 WORX provides the Programme on an “as available” basis and does not guarantee uninterrupted availability or error-free tracking.
10. Data Protection
10.1 Positec (UK & Ireland) Limited is the Data Controller for personal data processed in connection with the Programme.
10.2 Personal data will be processed for the purposes of:
(a) administering the Programme;
(b) validating affiliate activity;
(c) processing commission payments; and
(d) communicating programme updates.
10.3 Personal data will be processed in accordance with applicable UK data protection legislation and the WORX Privacy Policy and shall be retained only for as long as necessary to administer the Programme and comply with legal, accounting, and regulatory obligations. :

11. General
11.1 WORX reserves the right to amend, suspend, or withdraw the Programme at any time where reasonably necessary.
11.2 Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
11.3 If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.4 These Terms & Conditions are governed by English law and subject to the exclusive jurisdiction of the Courts of England and Wales.11.5 Affiliate participation is personal to the approved affiliate and may not be assigned, transferred, or sublicensed without prior written consent from WORX.
11.6 These Terms & Conditions, together with any Programme Documentation expressly referenced herein, constitute the entire agreement between the parties relating to the Programme.
